Public Offer for Distance Sale of Goods

TERMS AND DEFINITIONS
In this Public Offer, unless the context otherwise requires, the following terms shall have the meanings set forth below and form an integral part of this Offer:
“Seller” — PT ANTS PANTS ULUWATU, a company duly incorporated and operating under the laws of the Republic of Indonesia, engaged in the business of selling Goods, including through electronic and remote means, publishing this Public Offer, and processing personal data of individuals (Buyers) who place Orders on the Website for the purpose of fulfilling this Offer.
“Buyer” — any individual who accepts this Public Offer under the terms set forth herein and provides personal data to the Seller via registration on the Website, which may be used by the Seller to process the Buyer’s Order.
“Website” — the official website of the Seller located at ants-pants.smartofood.ru
“Online Store” — the Seller’s official online store offering Goods displayed on the Website.
“Goods” — the list of products offered by the Seller on the Website.
“Order” — a request placed by the Buyer in the Online Store for the purchase and delivery of Goods selected by the Buyer, submitted via the Internet (electronic form on the Website) or by telephone.
For the purposes of this Public Offer, terms in singular include plural and vice versa.
1. GENERAL PROVISIONS
1.1. This document constitutes a public offer in accordance with the applicable laws of the Republic of Indonesia, including the Indonesian Civil Code and electronic transaction regulations. By accepting the terms set forth herein, the Buyer agrees to pay for the Goods under the conditions specified in this Offer. Clicking the “Pay for Order” and/or “Confirm Order” button constitutes acceptance of this Offer and is equivalent to entering into a binding sale and purchase agreement (“Agreement”) between the Seller and the Buyer.
1.2. The Seller and the Buyer represent and warrant that they have full legal capacity and authority to enter into and perform this Agreement under Indonesian law.
1.3. By placing an Order through the Online Store, the Buyer unconditionally accepts this Public Offer. The Order placed on the Website constitutes confirmation of the Agreement between the Seller and the Buyer.
1.4. The relationship between the Seller and the Buyer shall be governed by the laws of the Republic of Indonesia, including applicable consumer protection and electronic transaction laws.
1.5. The Seller reserves the right to amend this Public Offer at any time. The Buyer is responsible for reviewing updates published on the Website. All changes become effective immediately upon publication and are deemed accepted by the Buyer upon continued use of the Website.
2. SUBJECT OF THE AGREEMENT
2.1. The Seller sells Goods at prices indicated on the Website, and the Buyer pays for and accepts the Goods in accordance with this Offer.
2.2. Ownership of the Goods transfers to the Buyer at the moment of acceptance of the Goods and full payment. The risk of accidental loss or damage passes to the Buyer upon receipt of the Goods.
3. RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. Seller’s obligations:
3.1.1. To perform its obligations under this Offer in accordance with applicable laws of the Republic of Indonesia. The Seller shall not be liable for failure to perform due to force majeure events as defined in Section 9.
3.1.2. To process and store the Buyer’s personal data confidentially in accordance with applicable Indonesian Personal Data Protection regulations. By accepting this Offer, the Buyer consents to the processing of personal data including: full name, delivery address, and phone number. Processing includes collection, storage, use, modification, blocking, and deletion.
3.1.3. The Seller may transfer personal data to Courier Services for the purpose of delivery.
3.1.4. The Buyer consents to automated processing of personal data.
3.1.5. The Seller may determine methods of personal data processing in accordance with applicable law.
3.1.6. The Seller ensures reasonable technical and organizational measures to protect personal data from unauthorized access. The Buyer may request access, correction, or deletion of their personal data.
3.1.7. The Seller complies with applicable Indonesian electronic system and data protection regulations.
3.1.8. The Seller reserves the right to change this Offer, prices, payment terms, delivery conditions, and any other terms published on the Website.
3.2. Buyer’s obligations:
3.2.1. Review this Offer before placing an Order.
3.2.2. Provide accurate personal data.
3.2.3. Pay for ordered Goods.
3.2.4. Not use Goods for commercial resale without prior written consent.
3.2.5. Comply with all terms of this Offer.
3.3. Buyer’s rights:
3.3.1. Use the Online Store after registration. Account credentials are personal and non-transferable.
3.3.2. Receive promotional messages via SMS or messaging applications and may unsubscribe at any time.
4. REGISTRATION IN THE ONLINE STORE
4.1. Registration is required to use the Online Store.
4.2. Registration process:
a) enter phone number;
b) request verification code;
c) enter verification code received via SMS or messenger.
4.3. Registration is completed upon successful verification.
4.4. By registering, the Buyer fully accepts this Offer.
4.5. Account credentials must not be shared. The Buyer is responsible for all actions performed via their account.
4.6. Orders may only be placed by registered Buyers.
4.7. The Seller is not responsible for incorrect data provided during registration.
5. ORDER PLACEMENT AND PROCESSING
5.1. Orders may be placed via Website or telephone.
5.2. If Goods are unavailable, the Seller will notify the Buyer within 15 minutes and may offer alternatives or cancel the Order.
5.3. The Buyer may not modify an Order once preparation or dispatch has begun.
5.4. The Buyer may add items before preparation is completed, accepting possible delays.

6. PAYMENT
6.1. Prices of Goods are determined by the Seller at its sole discretion and are indicated on the Website in Indonesian Rupiah (IDR). The Seller may change prices at any time prior to Order confirmation. However, the price of Goods already ordered and confirmed by the Buyer shall not be changed.
6.2. Orders are available only for Goods in stock.
6.3. Payment is considered completed:
- online payment — upon confirmation by the payment provider;
- cash/card — upon receipt by the Seller.
7. RETURNS AND EXCHANGES
7.1. The Seller guarantees that Goods correspond to the Order and applicable quality standards.
7.2. The Buyer must inspect Goods upon receipt. Claims regarding incorrect items, incomplete orders, or visible defects must be submitted immediately or within 15 minutes after receipt.
7.3. After this period, claims regarding appearance or completeness will not be accepted, except as required under applicable Indonesian consumer protection law.
8. FORCE MAJEURE
Neither Party shall be liable for failure to perform obligations due to force majeure events, including but not limited to natural disasters, fires, floods, earthquakes, war, civil unrest, strikes, or government restrictions.
9. LIABILITY
9.1. The Parties shall be liable in accordance with the laws of the Republic of Indonesia.
9.2. All Website content, including text and images, is protected by intellectual property laws.
9.3. The Seller is not liable for improper use of Goods.
9.4. The Buyer is responsible for the accuracy of provided data.
9.5. The Seller may restrict or block access to the Online Store in case of violation of this Offer.
10. MISCELLANEOUS
10.1. This Offer becomes effective upon publication on the Website.
10.2. The Parties shall attempt to resolve disputes through negotiations.
10.3. If no agreement is reached, disputes shall be resolved in accordance with the laws of the Republic of Indonesia.
11. LOYALTY PROGRAM
11.1. When placing an order, the Seller provides a loyalty system — the iikoCard bonus system, which allows accrual of bonus points from 5% to 20% of the order amount depending on the customer’s rank, and enables the use of these points to pay for up to 20% of the purchase.
11.2. Bonus points cannot be exchanged for cash. 1 bonus point is equal to 1 Indonesian Rupiah.
11.3. Bonus points cannot be used for the purchase of gift certificates.
11.4. The maximum number of bonus point accruals per day is two times.
11.5. In case of incomplete accrual of bonus points, a request is created through the Contact Center Operator. The period for consideration and processing of the request is 5 business days.
12. SERVICE CHARGE
12.1. The Seller charges a service fee for the use of the Website and Online Store functionality. The service fee is calculated as a percentage of the order value and is displayed before order confirmation. It is included in the total amount payable.
12.2. By clicking the “Pay for Order” and/or “Confirm Order” button, the Buyer agrees to the total order amount, including the service charge.
